1. About these terms
These terms govern your use of this website and set out the general basis on which ECOM SPIDER LLC ("Ecom Spider", "we", "us") provides its services. By using this website you accept these terms. If you do not accept them, please do not use the site.
ECOM SPIDER LLC is a limited liability company registered in the State of Wyoming, United States, with its registered office at 30 N Gould St, Ste R, Sheridan, WY 82801.
2. Services are governed by a separate agreement
The descriptions of services on this website are for general information. They are not an offer, and they do not form a contract.
Any engagement between us is governed by a separate written agreement covering scope, deliverables, fees, payment terms, confidentiality, intellectual property and termination. Where that agreement conflicts with anything on this website, the agreement takes precedence.
3. No guarantee of results
We do not guarantee any particular commercial outcome. Results from e-commerce storefront work, paid advertising and consulting depend on factors including product quality, pricing, margin, market conditions, competition, platform policy changes and decisions made by the client, several of which are outside our control.
Any figures, case studies or examples shown on this website describe past work in specific circumstances. They are not a prediction, promise or guarantee of what any other business will achieve.
4. Using this website
You agree not to:
- Use this website for any unlawful purpose or in breach of these terms
- Attempt to gain unauthorised access to the site, its servers or any connected system
- Introduce malware, or otherwise attempt to disrupt or degrade the site
- Scrape, harvest or systematically extract content from the site without our written consent
- Submit false information, or another person's personal data without their permission, through our forms
We may suspend or restrict access to the site, in whole or in part, without notice.
5. Intellectual property
All content on this website, including text, layout, graphics, logos and the Ecom Spider name and mark, is owned by ECOM SPIDER LLC or used under licence, and is protected by intellectual property law. You may view and print pages for your own reference. You may not reproduce, republish or use our content commercially without our prior written permission.
Ownership of work produced during a client engagement is dealt with in the engagement agreement. As a matter of practice, accounts, assets and deliverables created for a client are created in that client's name and remain the client's property.
6. Third-party names and links
References to third-party platforms such as Shopify, Meta and TikTok are for identification only. Those names and marks belong to their respective owners. We are not affiliated with, endorsed by, or acting as an agent of any of them unless we state so explicitly.
Where this website links to a third-party site, we do not control that site and are not responsible for its content, availability or privacy practices.
7. Website provided as is
This website is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the site will be uninterrupted, error-free or free of harmful components.
Nothing on this website constitutes legal, tax, accounting or financial advice.
8. Limitation of liability
To the fullest extent permitted by law, ECOM SPIDER LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profit, revenue, data, goodwill or business opportunity, arising out of or in connection with your use of this website.
Our total aggregate liability arising out of or relating to your use of this website will not exceed one hundred United States dollars (USD 100). Liability arising from a client engagement is governed by the limitation of liability clause in the relevant engagement agreement.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation.
9. Indemnity
You agree to indemnify and hold harmless ECOM SPIDER LLC and its members, officers and personnel against any claims, losses, liabilities and reasonable costs arising from your breach of these terms or your misuse of this website.
10. Privacy
Our handling of personal data is described in our Privacy Policy, which forms part of these terms.
11. Changes to these terms
We may update these terms from time to time. The version in force is the one published on this page, with the date shown at the top. Continued use of the website after a change takes effect constitutes acceptance of the revised terms.
12. Governing law and jurisdiction
These terms and any dispute arising out of them are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules. The state and federal courts located in the State of Wyoming will have exclusive jurisdiction, and you consent to their jurisdiction and venue.
13. General
If any provision of these terms is found to be unenforceable, the remaining provisions remain in full force. Our failure to enforce a provision is not a waiver of it. These terms, together with the Privacy Policy, are the entire agreement between you and us in relation to your use of this website.
